1. Scope

These Terms & Conditions apply to services provided by Duptus Private Limited under the Duptus AI brand.

They should be read together with the Privacy Policy and Terms of Use published on the Duptus AI website.

2. Accounts

Some Duptus AI features require an account. You agree to provide accurate information and maintain appropriate security for your account.

Accounts must not be shared, sold or transferred in a manner that violates the applicable plan or these Terms.

3. Services

Duptus AI may provide AI Chat, AI Research, AI Writing, AI Coding, AI Agents, document intelligence, image understanding, business tools, workflows, project management and other AI-powered capabilities.

Individual features may be introduced, changed, limited or discontinued as the product evolves, subject to applicable contractual commitments and law.

4. Plans

Duptus AI may offer Free, Pro, Business, Enterprise and other plans from time to time.

Plan features, prices, model availability, usage allowances and other conditions are described on the applicable pricing or order page.

The plan displayed at the time of purchase or subscription generally governs the applicable commercial relationship, subject to these Terms and any separately agreed enterprise contract.

5. Free Plan

The Free plan may provide access to selected Duptus AI capabilities without a recurring subscription charge.

Free access may be subject to technical, usage, availability, model or other reasonable restrictions.

We may modify or discontinue free features where permitted by applicable law.

6. Paid Plans

Paid plans may unlock additional models, AI employees, business capabilities, document generation, workflows, team functionality, priority processing, API access and other features depending on the selected plan.

The actual feature set is determined by the current plan configuration and applicable commercial agreement.

7. Billing

Paid subscriptions may be billed monthly or annually, depending on the plan and payment option presented at purchase.

You authorize the applicable payment provider to charge the selected payment method for valid subscription charges.

Applicable taxes, statutory charges and transaction charges may apply.

If a payment fails, access to paid features may be restricted, suspended or otherwise handled according to the applicable billing process.

8. Refunds

Refund eligibility depends on the applicable plan, purchase terms, payment provider rules and applicable law.

Unless a refund right is expressly provided or required by applicable law, subscription fees may be non-refundable once the relevant subscription period or service access has commenced.

Any promotional offer may have additional conditions disclosed at the time of purchase.

9. Usage & Limits

Duptus AI may apply reasonable usage controls to maintain service reliability, security and fair availability.

Such controls may depend on subscription plan, model, infrastructure capacity, system demand, API limits or other technical factors.

References to extended or non-arbitrary AI usage do not mean that the service is unlimited in every technical circumstance.

10. AI Models

Available AI models may vary according to plan, infrastructure, provider availability, licensing, performance requirements and other factors.

We may add, remove, replace or update models when reasonably necessary.

Different models may produce materially different outputs, accuracy and performance.

11. Business & Enterprise

Business and Enterprise customers may receive additional functionality, support, team features, APIs, private infrastructure or contractual commitments.

Where a separately signed agreement exists, that agreement will govern the relevant enterprise relationship to the extent of any conflict with these website terms.

Enterprise customers remain responsible for ensuring that their use of the service complies with their own legal, regulatory, security and contractual obligations.

12. User Content

You are responsible for the legality, accuracy and appropriateness of information submitted to Duptus AI.

You must have appropriate authorization before uploading confidential, proprietary, personal or third-party data.

Duptus AI does not guarantee that generated output will be unique or free from similarity to other content.

13. Prohibited Activities

You must not use Duptus AI for:

• Illegal activity or unlawful conduct.
• Unauthorized access or security attacks.
• Malware distribution or harmful code.
• Fraud, impersonation or deceptive practices.
• Unauthorized surveillance or privacy violations.
• Infringement of intellectual-property rights.
• Attempting to circumvent technical restrictions.
• Abuse of APIs or automated systems.
• Reselling access without authorization.
• Activities prohibited under applicable law.

14. Intellectual Property

Duptus AI software, branding, interfaces, product architecture, documentation and proprietary technology remain the property of Duptus Private Limited or its licensors.

Nothing in these Terms transfers ownership of Duptus intellectual property to you.

15. Availability

We seek to maintain a reliable service but cannot promise continuous availability.

Maintenance, upgrades, security incidents, third-party outages, infrastructure issues, network failures and circumstances outside reasonable control may affect availability.

16. Service Changes

AI technology changes rapidly. As a result, we may need to modify models, infrastructure, interfaces, features, pricing or technical requirements.

Where applicable, material changes to paid services will be handled in accordance with applicable law and any contractual commitments.

17. Suspension & Termination

We may suspend or terminate access where necessary to protect users, infrastructure or third parties, prevent abuse, address security risks, enforce these Terms or comply with applicable law.

Where appropriate and reasonably practicable, we may provide notice or an opportunity to address the issue. This does not limit our ability to act immediately where required for security, legal or operational reasons.

18. Liability

To the maximum extent permitted by applicable law, Duptus Private Limited shall not be liable for indirect, incidental, special or consequential losses arising from use of the service.

Nothing in these Terms excludes liability that cannot lawfully be excluded or restricted.

19. Disputes

These Terms are governed by applicable laws of India, subject to mandatory rights and protections under applicable law.

Subject to applicable law, courts and competent authorities having jurisdiction in Indore, Madhya Pradesh, India shall have jurisdiction over disputes arising from or relating to these Terms.
